What This Means (2024 FDD)

According to the 2024 Desi District Franchise Disclosure Document, Desi District Franchise Group can terminate the franchise agreement without allowing an opportunity to cure the breach if the franchisee misrepresented or omitted material facts when applying to become a franchisee, or if the franchisee breaches any representation made in the agreement. This means that any false statements, omissions of important information during the application process, or violations of the promises and statements made within the franchise agreement itself can lead to immediate termination by Desi District.

This provision highlights the importance of honesty and accuracy during the franchise application process and throughout the term of the agreement. Prospective Desi District franchisees should ensure that all information provided is truthful, complete, and not misleading. Furthermore, franchisees must carefully adhere to all representations and promises made in the franchise agreement to avoid the risk of immediate termination.

Franchise agreements commonly include clauses allowing the franchisor to terminate the agreement for cause, but the specific grounds for termination and the opportunity to cure can vary. The Desi District franchise agreement's provision for immediate termination in the event of misrepresentation or breach of representation is a stricter term than some other franchise agreements, where a cure period might be offered. Therefore, prospective franchisees should carefully review and understand all terms and conditions of the Desi District franchise agreement, especially those related to representations and warranties, to fully understand their obligations and potential consequences.
