What aspects of the Desi District brand system are subject to specifications and standards?

We issue specifications and standards to you for applicable aspects of the franchise in our Manual and/or in written directives. We may issue new specifications and standards for any aspect of our brand system, or modify existing specifications and standards, at any time by revising our Manual and/or issuing new written directives (which may be communicated to you by any method we choose). We will generally (but are not obligated to) issue new or revised specifications only after thorough testing in our headquarters, in company-owned outlets, and/or a limited market test in multiple units.
- A. Real Estate. Your business location is subject to our approval and must meet our specifications. You must use reasonable efforts to have your landlord sign our form of Rider to Lease Agreement (attached to this disclosure document as Exhibit D).
- B. Insurance. You must obtain insurance as described in the Franchise Agreement and in our Brand Standards Manual, which includes (i) "Special" causes of loss coverage forms, including fire and extended coverage, crime, vandalism, and malicious mischief, on all property of the Business, for full repair and replacement value (subject to a reasonable deductible); (ii) Business interruption insurance covering at least 12 months of income; (iii) Commercial General Liability insurance, including products liability coverage, and broad form commercial liability coverage, written on an "occurrence" policy form in an amount of not less than $1,000,000 single limit per occurrence and $2,000,000 aggregate limit, (iv) Business Automobile Liability insurance including owned, leased, non-owned and hired automobiles coverage in an amount of not less than $1,000,000, and (v) Workers Compensation coverage as required by state law. Your policies (other than Workers Compensation) must list us and our affiliates as an additional insured, must include a waiver of subrogation in favor of us and our affiliates, must be primary and non-contributing with any insurance carried by us or our affiliates, and must stipulate that we receive 30 days' prior written notice of cancellation.
- C. Point-of-sale software and hardware, and related software and hardware. You must purchase (or lease) the point-of-sale software and hardware, and related software and hardware, that we specify. See Item 11 for more details.
- D. Food Products and Inventory. You must purchase required food product from our affiliate, TAR Distributors, Inc. and our approved vendors as prescribed. See our Brand Standards/Operations Manual for details.
- E. Operating Equipment, Furniture, Fixtures. You will be required to purchase the furniture, fixtures and equipment needed to open and operate your Eatery and Market location from our approved vendors and according to our standards and specifications.
- F. Branding, Signage and Marketing Materials. You will be required to purchase the signage, branded items and marketing materials from our Affiliate and approved vendors and suppliers and according to our brand standards and specifications. If you want to use a supplier that is not on our list of approved suppliers, you must request our approval in writing. We will grant or revoke approvals of suppliers based on criteria appropriate to the situation, which may include evaluations of the supplier's capacity, quality, financial stability, reputation, and reliability; inspections; product testing, and performance reviews. Our criteria for approving suppliers are not available to you. We permit you to contract with alternative suppliers who meet our criteria only if you request our approval in writing, and we grant approval. There is no fee for us to review or approve an alternate supplier. We will provide you with written notification of the approval or disapproval of any supplier you propose within 30 days after receipt of your request. We may grant approvals of new suppliers or revoke past approvals of suppliers on written notice to you, or by updating our Manual.

According to Desi District's 2024 Franchise Disclosure Document, several aspects of the brand system are subject to specifications and standards. Desi District may issue new or modify existing specifications and standards for any aspect of their brand system at any time by revising their manual or issuing new written directives. These directives can be communicated through any method Desi District chooses. Generally, but not obligatorily, Desi District will issue new or revised specifications after thorough testing at their headquarters, company-owned outlets, and/or limited market tests in multiple units.
Specifically, the real estate used for the business location must meet Desi District's specifications and is subject to their approval. Franchisees must also obtain insurance as described in the Franchise Agreement and Brand Standards Manual, including specific coverage amounts such as Commercial General Liability insurance of not less than $1,000,000 single limit per occurrence and $2,000,000 aggregate limit, and Business Automobile Liability insurance of not less than $1,000,000. Additionally, franchisees are required to purchase or lease point-of-sale software and hardware that Desi District specifies.
Furthermore, franchisees must purchase required food products from Desi District's affiliate, TAR Distributors, Inc., and other approved vendors as prescribed in the Brand Standards/Operations Manual. Operating equipment, furniture, and fixtures needed to open and operate the Eatery and Market location must be purchased from approved vendors according to Desi District's standards and specifications. Branding, signage, and marketing materials must also be purchased from Desi District's affiliate and approved vendors and suppliers, adhering to brand standards and specifications. These requirements ensure consistency and quality across all Desi District franchise locations.
If a franchisee wishes to use a supplier not already approved, they must request written approval from Desi District. Approvals are based on criteria such as the supplier's capacity, quality, financial stability, reputation, and reliability, as well as inspections, product testing, and performance reviews. Desi District will provide written notification of approval or disapproval within 30 days of the request. This process allows for flexibility while maintaining control over brand standards. Desi District can also negotiate purchase arrangements with suppliers, including price terms, for the benefit of franchisees, and provides material benefits based on the purchase of particular goods or services and the use of particular suppliers.
