What This Means (2024 FDD)
According to Desi District's 2024 Franchise Disclosure Document, a 'Claim' in the context of the General Release encompasses a broad range of potential legal issues. Specifically, it includes any and all claims, causes of action, suits, debts, agreements, promises, demands, liabilities, contractual rights, and/or obligations, regardless of their nature and whether they are known or unknown. These claims can arise from any event that occurred up to the date of the release, including, but not limited to, matters related to the Franchise Agreement itself.
This definition is significant for a prospective Desi District franchisee because it outlines the scope of what they are potentially giving up if they sign a general release. The release would cover any existing or future legal actions against Desi District, its affiliates, and their respective personnel. This could include disputes over the franchise agreement, debts, or any other type of liability.
The General Release also includes a covenant not to sue, meaning the franchisee agrees not to initiate or participate in any legal proceedings against Desi District regarding any released claim. This further emphasizes the importance of understanding the full implications before signing such a release, as it could prevent a franchisee from pursuing legal recourse even if new information comes to light later.
It is important to note that the FDD states this General Release is typically required in circumstances such as a renewal of your franchise or as a condition of approval of a sale of your franchise. The document also states that this Release shall not apply to any liability under the Maryland Franchise Registration and Disclosure Law.
