What This Means (2025 FDD)

According to Dermani Medspa's 2025 Franchise Disclosure Document, Dermani Medspa has the discretion to create a regional marketing cooperative in any area. Alternatively, Dermani Medspa may approve the creation of such a cooperative by franchisees within the Dermani Medspa system. Dermani Medspa also has the authority to establish the rules and regulations governing the cooperative.

If Dermani Medspa or the franchisees establish a cooperative, franchisees must become a member of the cooperative if any part of their territory is located within the cooperative's area. However, a franchised business cannot be required to be a member of more than one cooperative. The cooperative's governance must adhere to the manner prescribed by Dermani Medspa.

The cooperative can mandate contributions from its members, with the amount determined either by agreement among the cooperative members or as prescribed by Dermani Medspa. Franchisees are obligated to contribute these amounts at the times and in the manner decided by a majority vote of the cooperative members. These contributions will be credited against the franchisee's local marketing obligations. However, if a franchisee's contributions to the cooperative are less than their local marketing requirement, they must still spend the difference locally.

These stipulations ensure that Dermani Medspa maintains control over regional marketing efforts while also allowing for franchisee involvement and contributions. Prospective franchisees should be aware of these requirements and factor them into their marketing budget and strategy.
