What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, a Cooperative, if established, is intended to be of perpetual duration. However, Dermani Medspa retains the right to terminate any Cooperative.
The document specifies one condition under which a Cooperative will not be terminated: a Cooperative will not be terminated until all monies in that Cooperative have been expended for marketing or promotional purposes. This means that Dermani Medspa can terminate a cooperative at any time, provided that all the money within the cooperative has been spent on marketing or promotional activities.
This condition provides some assurance to franchisees that their contributions to the Cooperative will be used for their intended purpose. However, it also highlights the franchisor's ultimate control over the Cooperative and its funds. Prospective franchisees should consider the implications of this control and the potential for the Cooperative to be terminated once its funds are depleted.
