Under what circumstances will the Dermani Medspa Development Agreement expire?

4.1. Term. The term of this Agreement and all rights granted hereunder will expire at the earlier of (a) the day the last dermani MEDSPA® required under the Development Schedule opens for business, or (b) on the last date specified in the Development Schedule, unless this Agreement is earlier terminated in accordance with the terms set out in this Agreement.
4.2. No Renewal. Upon expiration of this Agreement, there is no renewal or subsequent term, and you will not have any rights to a renewal, successor, or extended term. This Agreement may not be renewed or extended except by mutual written agreement of the parties.
8.5. Post-Termination Rights. Upon termination or expiration of this Agreement, you will have no right to establish or operate a Franchised Business or manage any dermani MEDSPA® for which a Franchise Agreement has not been executed by us at the time of termination.

What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, the Development Agreement's term and associated rights will end when the last required Dermani Medspa opens for business, as outlined in the Development Schedule. Alternatively, the agreement expires on the final date specified in the Development Schedule. However, the agreement may be terminated earlier if the terms of the agreement are not followed.
Upon the expiration of the Development Agreement, there is no automatic renewal or extension. Any renewal or extension would require a mutual written agreement between Dermani Medspa and the developer. This means that a developer cannot assume they will be able to continue developing locations beyond the initial term without explicit approval from Dermani Medspa.
After the Development Agreement expires, the developer loses the right to establish or operate a Franchised Business or manage any Dermani Medspa if a Franchise Agreement has not been executed by Dermani Medspa at the time of termination. This underscores the importance of adhering to the Development Schedule and securing Franchise Agreements for each location in a timely manner.
