ing trust or other arrangement that gives a third party the power to direct and control your affairs without our prior written consent. Throughout the Term of this Agreement, your governing documents (and those of your ultimate parent) must provide that no transfer of any ownership interest may be made except in accordance with Section 7 of this Agreement and Section 12 of the Franchise Agreement. Any securities that you issue must bear a conspicuous printed legend to that effect.
6. TRAINING
6.1. Training. You acknowledge that your owners and managers must be knowledgeable regarding the operation and management of dermani MEDSPA®s. You acknowledge that successful completion of our training programs is critical to properly develop, own, and operate a Franchise Businesses and manage dermani MEDSPA®s. Prior to the opening of the first (1st) dermani MEDSPA®, your Operating Principal and one (1) full-time manager of your operations must attend and successfully complete (to our satisfaction) our initial training program and all other training programs as required under the Franchise Agreement.
7. TRANSFERS
7.1. Transfer By Us.
- 7.1.1. We shall have the right to assign this Agreement and all of our attendant rights and privileges to any person, firm, corporation, or other entity, without prior notice to you, and without your consent or approval.

What This Means (2025 FDD)
According to the 2025 Dermani Medspa Franchise Disclosure Document, the Operating Principal and one full-time manager must attend and successfully complete the initial training program before the first Dermani Medspa location opens. This training must be completed to Dermani Medspa's satisfaction, and all other training programs required under the Franchise Agreement must also be completed.
The FDD states that the franchisee must ensure that they, their Operating Principal, manager, and any other personnel have satisfactorily completed all required training before opening the Franchised Business. The franchisee also needs to have received all required state and local government certifications, permits, and licenses necessary for managing a Medspa. The Professional Corporation (PC) must also certify that it has received all required state and local government certifications, permits, and licenses necessary for the operation of a Medspa, including any required licenses and certifications for its personnel.
Dermani Medspa emphasizes that successful completion of their training programs is critical for franchisees and managers to properly develop, own, and operate the franchise. If Dermani Medspa determines that the franchisee, Operating Principal, or manager cannot complete the initial training satisfactorily, they reserve the right to terminate the Franchise Agreement. The criteria for satisfactory completion include attending all training classes, passing all interim and final tests and exams, and demonstrating a capability and willingness to comply with System Standards. Furthermore, all management and other personnel must satisfactorily complete all state and local government-required training and meet all required licensing and certification requirements.
