What This Means (2025 FDD)

According to the 2025 Dermani Medspa Franchise Disclosure Document, the rights and remedies available to both parties in the Franchise Agreement are cumulative and not alternative. This means that if either Dermani Medspa or the franchisee experiences a breach or default by the other party, they can pursue multiple legal avenues simultaneously to seek resolution.

This provision is beneficial for both Dermani Medspa and its franchisees, as it provides flexibility in addressing breaches or defaults. Rather than being limited to a single course of action, either party can pursue various remedies, whether through legal action, arbitration, or other means, to achieve a satisfactory outcome. This can include seeking financial compensation, specific performance, or injunctive relief, depending on the nature and severity of the breach.

For a prospective Dermani Medspa franchisee, this clause offers a degree of protection and recourse in the event that Dermani Medspa fails to uphold its obligations under the Franchise Agreement. Similarly, it allows Dermani Medspa to comprehensively address any failures or defaults on the part of the franchisee, ensuring compliance with the terms of the agreement and protecting the integrity of the Dermani Medspa brand and system. This is a fairly standard clause in franchise agreements, intended to provide maximum legal protection for both parties.

The agreement also states that the rights and remedies are continuing and are not exhausted by one or more uses, and may be exercised at any time or from time to time as often as may be expedient; and any option or election to enforce any such right or remedy may be exercised or taken at any time and from time to time.
