Who has the responsibility for the day-to-day management and operation of the Franchised Business for Dermani Medspa?

8.7.1. You acknowledge and agree that operating and maintaining the Franchised Business according to System Standards is essential to preserve the goodwill of the Marks and all
Franchised Businesses and Medspas. Therefore, you agree at all times to operate and maintain the Franchised Business according to all of our System Standards. Although we retain the right to establish and periodically modify System Standards, you retain the right to and responsibility for the day-to-day management and operation of the Franchised Business and implementing and maintaining System Standards at the Franchised Business. If you fail to implement, maintain, and/or comply with System Standards, we may terminate your right to operate the Franchised Business, and/or take other actions to enforce the System Standards.
- 8.5.1. You or your Operating Principal must manage and provide general oversight of the Franchised Business on a full-time basis. Your failure to have the Franchised Business managed on a full-time basis by you or your Operating Principal is a default for which we may terminate this Agreement if such default continues for thirty (30) days after receiving notice from us. You must keep us informed at all times of the identity of any supervisory employee(s), including your Operating Principal, your manager and the Medspa's physician(s) and other individuals providing medical services. You must make sure that the Franchised Business is staffed with adequate non-medical personnel to meet the needs of the Medspa, and you must make sure that the Medspa is staffed with adequate medical personnel to efficiently and effectively meet member and clientele needs, including but not limited to adequate hours of operation that we prescribe.
- 8.5.2. If you own or control more than one Franchised Business, we reserve the right to require you to be an Entity, and each Franchised Business must be under the direct on-premises supervision of one of your principals who is designated as the Operating Principal for that Franchised Business and who has completed our training program to our satisfaction.

What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, the franchisee retains the responsibility for the day-to-day management and operation of the Franchised Business. This includes implementing and maintaining the System Standards at the Franchised Business. The System Standards are the specifications, standards, operating procedures, and rules that Dermani Medspa prescribes for the management and operation of the Franchised Business.
The franchisee or their Operating Principal must manage and provide general oversight of the Dermani Medspa business on a full-time basis. Failure to do so can result in Dermani Medspa terminating the Franchise Agreement if the deficiency continues for more than 30 days after notice. The franchisee must also keep Dermani Medspa informed of the identity of any supervisory employees, including the Operating Principal, manager, and the Medspa's physician(s) and other individuals providing medical services.
The franchisee is responsible for ensuring that the Franchised Business is adequately staffed with non-medical personnel to meet the Medspa's needs. They must also ensure that the Medspa is adequately staffed with medical personnel to efficiently and effectively meet member and clientele needs, including maintaining adequate hours of operation as prescribed by Dermani Medspa. If a franchisee owns or controls more than one Franchised Business, Dermani Medspa reserves the right to require the franchisee to operate as an Entity, with each Franchised Business under the direct, on-premises supervision of a designated Operating Principal who has completed Dermani Medspa's training program.
