How will Dermani Medspa provide guidance regarding the operation of a Dermani Medspa franchise?

We are required by the Franchise Agreement to provide certain assistance and service to you. During the operation of your Franchised Business:

- We may conduct, as we deem advisable, periodic inspections of the Franchised Business and dermani MEDSPA®. (Franchise Agreement, Section 11)

- We may choose to provide refresher additional training programs, as we deem appropriate. (Franchise Agreement, Sections 3.1 and 5.5)

- We will advise you regarding the Franchised Business's operation based on your reports to us and/or our direct or indirect observations, and we will provide guidance to you concerning: (a) standards, specifications, and operating procedures and methods regarding the operations of the Franchised Business; (b) advertising and marketing materials and programs; (c) employee training and recruiting programs; and (d) administrative, bookkeeping, and accounting procedures. - We will administer the System Marketing Fund as stated in the Franchise Agreement and as described below in this Item 11. (Franchise Agreement, Section 3.6)

- We will provide guidance in our Manual, in bulletins or other written materials and/or by electronic media. (Franchise Agreement, Section 4.3)
Neither the Franchise Agreement, nor any other agreement, requires us to provide any other assistance or services to you during the operation of the dermani MEDSPA®.

What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, Dermani Medspa provides guidance to franchisees both before opening and during the operation of the franchised business. Prior to opening, Dermani Medspa offers site selection guidance, including minimum site characteristics, and will review and approve the proposed location. They also provide mandatory and suggested specifications and layouts for the premises, including color schemes, furniture, medical equipment, and a planogram for a typical Medspa layout. Dermani Medspa may offer guidance in working with contractors and suppliers during the build-out phase and requires submission of construction plans for approval. Additionally, Dermani Medspa provides an initial training program for up to four people, including the franchisee or Operating Principal and the manager, focusing on the operation and management of the franchise. A representative may be sent to the franchise location for up to two days to assist with the opening.
During the operation of the franchised business, Dermani Medspa may conduct periodic inspections of the Franchised Business and dermani MEDSPA®. They may also provide refresher training programs as deemed appropriate. Dermani Medspa will advise franchisees regarding the operation of the business based on reports and observations, offering guidance on standards, operating procedures, advertising and marketing materials, employee training and recruiting programs, and administrative, bookkeeping, and accounting procedures. This guidance is provided through the Dermani Medspa's Manual, bulletins, written materials, and electronic media.
It is important to note that Dermani Medspa does not provide advice or training to the PC or any Affiliated Physician regarding the specific skills they need to perform medical services. The franchisee is responsible for ensuring that all individuals performing medical services are properly trained and licensed. Dermani Medspa also reserves the right to modify the Manual periodically to reflect changes in System Standards and other guidance and requirements.
