What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, franchisees must adopt and implement reasonable procedures to prevent unauthorized use or disclosure of Confidential Information. This includes restricting its disclosure to only those within the Franchised Business who need to know it.
The FDD specifies that franchisees will not acquire any interest in the Confidential Information beyond the right to use it as specified by Dermani Medspa for operating the Franchised Business during the Initial Term of the agreement. Franchisees must agree not to use the Confidential Information in any other business or capacity and must keep it absolutely confidential, both during the Initial Term and thereafter, as long as the information is not generally known in the employment and/or health care industries.
Furthermore, franchisees are prohibited from making unauthorized copies of any Confidential Information disclosed via electronic medium or in written or other tangible form. This underscores the importance of data security and access control within the Dermani Medspa franchise. These measures are typical in franchising to protect the brand's proprietary information and maintain a competitive advantage.
