After the Dermani Medspa premises are approved, where will the territory be described?

requirements and require you to execute our waiver of management agreement ("Waiver of Management Agreement"). If you qualify to enter into the Waiver of Management Agreement, we will make the final determination whether we will permit the waiver or not.
- 1.3. Territorial Rights. After the Premises are approved, we will describe the Territory in Exhibit A. Except as provided for in Sections 1.4, 1.5, and 1.6 below, and provided that you are in full compliance with this Agreement, we will not operate or grant others the right to operate a Franchised Business, or a similar medical spa practice management business that operates under a different mark or trade name, at a location within the Territory during the Initial Term of this Agreement.
- 1.4. Rights We Reserve. We retain all rights with respect to Franchised Businesses and Medspas, the System, the Marks, the sale of similar or dissimilar services, and any other activities we deem appropriate whenever and wherever we desire, including, but not limited to:

What This Means (2025 FDD)
According to the 2025 Dermani Medspa FDD, after the premises are approved, the territory will be described in Exhibit A of the Franchise Agreement. The territory may be defined using streets, towns, or similar boundaries, or it may be visually represented on a map that is also attached to Exhibit A.
Exhibit A to the Dermani Medspa Franchise Agreement also includes the location of the franchised business premises. It also contains the addresses for notices to both the franchisor, Dermani Medspa Franchising LLC, and the franchisee, including physical addresses and email addresses for relevant contacts.
Understanding the exact boundaries of the territory is crucial for a Dermani Medspa franchisee. This determines the area where the franchisee will have certain protections against direct competition from other franchised or company-owned Dermani Medspa locations. However, Dermani Medspa retains specific rights, including the right to operate or franchise businesses under different names or marks outside the franchisee's territory, market through alternative channels like the internet or wholesale, and acquire businesses that compete with Dermani Medspa.
