each deadline set forth in the Development Schedule in Exhibit A of this Agreement. Your failure to adhere to the Development Schedule will constitute a default under this Agreement as provided in Section 8.2 below. You acknowledge and agree that the time limits and time frames set forth in and inherent in the Development Schedule, and not those in the Franchise Agreement, will govern your obligations in this Agreement.
4. TERM
- 4.1. Term. The term of this Agreement and all rights granted hereunder will expire at the earlier of (a) the day the last dermani MEDSPA® required under the Development Schedule opens for business, or (b) on the last date specified in the Development Schedule, unless this Agreement is earlier terminated in accordance with the terms set out in this Agreement.
- 4.2. No Renewal. Upon expiration of this Agreement, there is no renewal or subsequent term, and you will not have any rights to a renewal, successor, or extended term. This Agreement may not be renewed or extended except by mutual written agreement of the parties.

What This Means (2025 FDD)
According to the 2025 Dermani Medspa Franchise Disclosure Document, the franchise agreement does not offer renewal terms. The agreement expires either when the last required Dermani Medspa location opens under the development schedule or on the final date specified in the development schedule, unless the agreement is terminated earlier according to its terms.
This means that a Dermani Medspa franchisee's business operation under the franchise agreement will cease at the end of the initial term, unless both parties mutually agree in writing to renew or extend the agreement. This lack of an assured renewal term is a significant point for prospective franchisees to consider, as building a successful business requires long-term planning and investment. Franchisees should be aware that they will not automatically have the right to continue operating their Dermani Medspa location beyond the initial term.
However, the FDD states that Dermani Medspa may be required to grant a successor term under certain laws or regulations. In such cases, the terms of the renewal would be subject to the franchise agreement then in use for new franchisees. If Dermani Medspa is not offering new franchises at that time, the terms of the successor period will be determined by the current franchise agreement that Dermani Medspa indicates. If that is not allowed, the successor term will be governed by the terms of the original agreement.
