What This Means (2025 FDD)

According to Dermani Medspa's 2025 Franchise Disclosure Document, there are specific exceptions to the confidentiality requirements that a franchisee must adhere to. Franchisees are not bound to keep information confidential if they can demonstrate that it was already known to them through lawful means before it was disclosed by Dermani Medspa. Additionally, information that has become part of the public domain at the time of its disclosure is also exempt from confidentiality.

Furthermore, the FDD indicates that there may be certain limited circumstances where applicable law allows for the disclosure of trade secrets, as specified in the manuals. This suggests that legal requirements could override the confidentiality obligations in specific situations. Franchisees should consult the Dermani Medspa manuals and seek legal counsel to fully understand these potential exceptions and their implications.

It is important for prospective Dermani Medspa franchisees to carefully review the definition of "Confidential Information" in the franchise agreement and understand the scope of these exceptions. Understanding these exceptions is crucial for franchisees to ensure they comply with the confidentiality obligations while also being aware of their rights and responsibilities regarding information they already possess or that is publicly available.
