Answer from 2025 FDD Document

The following statement shall be deemed to amend the Area Development Agreement, and the Franchisee Compliance Certification attached to the dermani MEDSPA FDD at Exhibit M:

No statement, questionnaire, or acknowledgment signed or agreed to by a franchisee in connection with the commencement of the franchise relationship shall have the effect of (i) waiving any claims under any applicable state franchise law, including fraud in the inducement, or (ii) disclaiming reliance on any statement made by any franchisor, franchise seller, or other person acting on behalf of the franchisor. This provision supersedes any other term of any document executed in connection with the franchise.

What This Means (2025 FDD)

According to the 2025 Dermani Medspa FDD, the Franchisee Compliance Certification attached to the FDD as Exhibit M is related to ensuring that prospective franchisees understand the risks of owning their own business and that Dermani Medspa has provided all legally required information. Dermani Medspa may either request that the franchisee review and sign the certification or review the questions with the franchisee during a pre-closing meeting, documenting the verbal responses instead.

For franchisees entering into an Area Development Agreement, an Illinois Addendum modifies the Franchisee Compliance Certification. This addendum stipulates that no statement, questionnaire, or acknowledgment signed by a franchisee can waive claims under state franchise law, including fraud, or disclaim reliance on statements made by Dermani Medspa or its representatives. This provision takes precedence over any conflicting terms in other documents.

In practical terms, this means that while a franchisee may be asked to sign a Franchisee Compliance Certification, the Illinois Addendum ensures that their rights to pursue legal claims related to the franchise agreement are protected. This is a beneficial provision for franchisees as it prevents them from inadvertently waiving their legal rights through standard documentation.
