What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, if the Franchise Agreement is terminated or expires, franchisees are subject to a non-competition covenant for two years. This prevents them from engaging in a Competitive Business at the Premises, within the Territory, within five miles of the border of the Territory, or within the Territory of other Franchised Businesses in operation or under construction.
Similarly, if the Area Development Agreement is terminated or expires, the non-competition covenant extends for two years. This restricts involvement in any business similar to a Dermani Medspa within the Development Area, within five miles of the Development Area, or near any other Dermani Medspa operating under the System.
These restrictions mean that upon leaving the Dermani Medspa system, a former franchisee cannot immediately open a competing business in close proximity to their former location or other existing Dermani Medspa franchises. This is a fairly standard practice in franchising to protect the brand and other franchisees from direct competition from someone who has inside knowledge of the business model.
