Can a Dermani Medspa franchisee use the Confidential Information in any business other than the franchised business?

- 6.2. You acknowledge and agree that you will not acquire any interest in the Confidential Information by virtue of this Agreement or otherwise, other than the right to use it as we specify in operating the Franchised Business during this Agreement's Initial Term, and that the Confidential Information is proprietary and is disclosed to you only on the condition that you agree that you:
- 6.2.1. will not use Confidential Information in any other business or capacity;
- 6.2.2. will keep each item deemed to be part of Confidential Information absolutely confidential, both during the Initial Term and then thereafter for as long as the item is not generally known in the employment and/or health care industries;
- 6.2.3. will not make unauthorized copies of any Confidential Information disclosed via electronic medium or in written or other tangible form; and
- 6.2.4. will adopt and implement reasonable procedures to prevent unauthorized use or disclosure of Confidential Information, including restricting its disclosure to Franchised Business

What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from using Confidential Information in any business other than their Dermani Medspa franchise. It also covers marketing and advertising programs, knowledge of suppliers for operating assets, proprietary computer software, operating results, financial performance of Medspas, graphic designs, and digital identifications necessary to access the Manual on a Website. This broad definition underscores the importance Dermani Medspa places on protecting its proprietary information and ensuring it is used solely for the benefit of the franchised business.
