Can a Dermani Medspa franchisee provide actual medical services?

The PC will employ and control the physicians and personnel, including, for example, physician assistants, nurse practitioners, medical assistants, estheticians, cosmetic injectors and other similar medical professionals (collectively, the "Affiliated Physicians") who will provide the actual medical services required to be delivered at and through the dermani MEDSPA®. You will not provide any medical services to clients of the dermani MEDSPA® nor will you supervise, direct, control or suggest to the PC or its physicians or employees the manner in which the PC provides or may provide medical services to its clients. Due to various federal and state laws and state professional licensing board rules, regarding the practice of medicine, and the ownership and operation of medical practices and health care businesses that provide medical services, it is critical that you do not engage in practices that are, or may appear to be, the practice of medicine. The dermani MEDSPA® must offer all products and services authorized by us in accordance with the Management Agreement and the System. The only exception to this is if you are in a state that permits you to own a dermani MEDSPA® as well as the entity that provides medical services, as previously discussed above.

According to Dermani Medspa's 2025 Franchise Disclosure Document, franchisees typically cannot provide medical services themselves. Instead, a professional entity (PC), comprised of licensed physicians, must be established to deliver these services. This PC employs and controls the Affiliated Physicians, such as physician assistants, nurse practitioners, and estheticians, who provide the medical services at the Dermani Medspa. The franchisee's role is to manage the business and support the PC's medical practice, not to directly administer medical treatments. Franchisees are responsible for constructing the medspa, staffing support personnel, and ensuring the PC has the necessary resources to operate effectively.

However, there is an exception: if the Dermani Medspa location is in a state that permits a single entity to both manage and operate a medical spa, including providing medical services, the franchisee may be able to obtain a Waiver of Management Agreement. In this case, the franchisee can both manage the Dermani Medspa and provide medical services. If a waiver is in place, the franchisee must still comply with all requirements that would otherwise pertain to the PC, such as maintaining professional liability coverage.

Regardless of whether a franchisee can provide medical services, they must ensure that all medical services are offered in accordance with the Management Agreement and the Dermani Medspa System. Franchisees must also ensure that the PC secures and maintains all required licenses, permits, and certificates necessary to operate the medspa. Compliance with all applicable laws and regulations is critical, and franchisees must not engage in any practices that could be perceived as the unauthorized practice of medicine.
