Must a Dermani Medspa franchisee execute the then-current form of franchise agreement to renew?

**4.2. No Renewal. Upon expiration of this Agreement, there is no renewal or subsequent term, and you will not have any rights to a renewal, successor, or extended term. This Agreement may not be renewed or extended except by mutual written agreement of the parties.
**13.4.
Renewal Under Law.** Even though we decline to grant you a successor term for the Franchised Business, it is possible that we can be required to do so under a law, rule, regulation, statute, ordinance, or legal order that is applicable at the time.
If that happens, to the extent it is allowed
by the applicable law, rule, regulation, statute, ordinance or order, your successor term will be subject to the conditions of the then-current franchise agreement we are using for new franchisees at the time the successor period begins. If we are not then offering new dermani MEDSPA® franchises, your successor period will be subject to the terms in the then-current franchise agreement that we indicate. If for any reason that is not allowed, the successor term will be governed by the terms of this Agreement.

What This Means (2025 FDD)
According to the 2025 Dermani Medspa Franchise Disclosure Document, generally, there is no option to renew the franchise agreement. However, under specific legal circumstances, a renewal might be required by law. In such cases, the renewal terms will align with Dermani Medspa's then-current franchise agreement for new franchisees. If Dermani Medspa isn't offering new franchises at that time, the successor period will be subject to the terms in the then-current franchise agreement that Dermani Medspa indicates. If that is not allowed, the successor term will be governed by the terms of the original agreement.
If a franchisee seeks to transfer their franchise to a new owner, the transferee is required to sign Dermani Medspa's then-current form of franchise agreement. The terms and conditions within this current agreement may differ significantly from the original agreement the franchisee signed.
It is important for prospective franchisees to understand that the terms of renewal or transfer are subject to change and are based on the franchise agreement currently in use at that time. This means that the obligations and conditions could be substantially different from those in the original agreement.
