What This Means (2025 FDD)

According to Dermani Medspa's 2025 Franchise Disclosure Document, a franchisee must sign documents and take reasonable actions deemed necessary by the franchisor's attorneys to protect and maintain their interests in any litigation, U.S. Patent and Trademark proceeding, or other proceeding related to protecting the marks. Dermani Medspa will cover the franchisee's costs for taking these actions if requested by the franchisor.

This means that if Dermani Medspa faces a legal challenge regarding its trademarks, franchisees are obligated to cooperate fully by signing documents and taking actions as directed by the franchisor's legal team. This obligation ensures that Dermani Medspa can effectively defend its trademarks, which are critical assets for the entire franchise system. The franchisor's commitment to cover the franchisee's costs for these actions helps to mitigate the financial burden on the franchisee.

It is fairly standard in franchising for the franchisor to take the lead in protecting its trademarks, as these marks represent the brand's identity and goodwill. Franchisees benefit from a strong and protected brand, so their cooperation in these matters is essential. However, franchisees should ensure they understand the scope of their obligations and the process for seeking reimbursement for any expenses incurred.
