What This Means (2025 FDD)

According to Dermani Medspa's 2025 Franchise Disclosure Document, franchisees do not acquire any ownership interest in the Confidential Information. Dermani Medspa retains ownership of its confidential information, only granting franchisees the right to use it during the term of the Franchise Agreement. This confidential information includes site selection criteria, training materials, operational manuals, marketing techniques, supplier information, proprietary software, financial performance data, graphic designs, and digital identifications required to access the Dermani Medspa manual online.

The franchisee's right to use the confidential information is specifically limited to operating the franchised business as outlined in the Franchise Agreement. Franchisees are explicitly prohibited from using the confidential information in any other business or capacity. This restriction extends both during the term of the agreement and even after its termination, as long as the information remains non-public within the employment or healthcare industries.

To protect the confidentiality of this information, Dermani Medspa requires franchisees to implement reasonable procedures to prevent unauthorized use or disclosure. This includes restricting access to the confidential information to only those employees of the franchised business who need it to perform their duties. Franchisees must also avoid making unauthorized copies of the confidential information, whether it is disclosed electronically or in tangible form. These measures ensure that Dermani Medspa maintains control over its proprietary information and that franchisees understand their obligations to protect it.
