Under the Franchise Agreement we will grant you the right and license to operate a Franchised Business that will manage a dermani MEDSPA® under the System at an agreed-upon location (the "Premises"), under our Marks (as defined below). The Franchise Agreement is attached as Exhibit A.
dermani MEDSPA®s are managed according to our System. We identify the System by means of certain trade names, service marks, trademarks, logos, emblems, and indicia of origin, including but not limited to the mark "dermani MEDSPA®" and any other trade names, service marks, and trademarks (the "Marks"), as are now designated (and may in the future be designated by us in writing) for use in connection with the System. You must operate your Franchised Business and manage the dermani MEDSPA® according to our standards and procedures, as set out in our confidential operating manuals (the "Manuals"). We will lend you a copy of the Manuals for the duration of the Franchise Agreement. In addition, we will grant you the right to use the Marks that we designate in writing for use with the System. We may periodically change and improve parts of the System, and you must promptly comply with all new or changed items.
The dermani MEDSPA® will be operated by one or more physicians licensed to provide medical spa services in the state in which the dermani MEDSPA® is located.

What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, the Franchised Business will operate at an agreed-upon location called the Premises. This location will be within a specific area defined in the Franchise Agreement as the Territory. The franchisee is obligated to manage the Dermani Medspa and operate the Franchised Business within this designated Territory.
The Dermani Medspa location must also comply with all local, state, and federal laws applicable to the business and the medical spa industry. The medical industry is heavily regulated, and franchisees must secure and maintain all required licenses, permits, and certificates for both the Franchised Business and its employees. Compliance with state and local laws regarding the management of a medical office is also mandatory.
Furthermore, the franchisee must ensure that their relationship with the Professional Corporation (PC), which provides medical services at the Dermani Medspa, complies with all relevant laws and regulations. The PC is also responsible for securing and maintaining all necessary licenses, permits, and certificates for operating the Dermani Medspa. The document also mentions the possibility of a Waiver of Management Agreement in certain states where one entity can both manage and operate the Dermani Medspa, including providing medical services. In such cases, the franchisee must still comply with all applicable laws and regulations.
