What This Means (2025 FDD)

According to the 2025 Dermani Medspa Franchise Disclosure Document, a franchisee cannot be required to be a member of more than one marketing cooperative. Dermani Medspa, at its discretion, may create a regional marketing cooperative or approve the creation of such a cooperative by franchisees. The document states that a franchisee must become a member of the cooperative for the area in which their territory is located, should one exist. However, the FDD explicitly states that a Dermani Medspa franchise will not be required to be a member of more than one cooperative.

These cooperatives are designed to administer advertising programs and develop standardized promotional materials for local marketing efforts, subject to Dermani Medspa's approval. The activities of each cooperative are determined by a majority vote of its members, with Dermani Medspa or its affiliates having the same voting rights as franchisees in the region. Each Medspa location is entitled to one vote.

Franchisees are required to contribute to the cooperative, with the amount determined either by agreement among the members or as prescribed by Dermani Medspa. These contributions are credited against the franchisee's local marketing obligations. If the contributions to the cooperative are less than the local marketing requirement, the franchisee must spend the difference locally. This ensures that franchisees meet their marketing obligations, even when participating in cooperative efforts.
