What This Means (2025 FDD)
According to the 2025 Dermani Medspa Franchise Disclosure Document, the franchise agreement does not confer any goodwill or other interests in the Marks to the franchisee. The agreement specifies that any goodwill established through the franchisee's use of the Marks is exclusively for the benefit of Dermani Medspa.
This means that while franchisees are authorized to use Dermani Medspa's trademarks and service marks to operate their franchised business, they do not gain any ownership or rights to the brand equity or goodwill associated with those marks. The franchisee's use of the Marks, and any goodwill established by that use, are exclusively for the franchisor's benefit.
This is a common practice in franchising, as the franchisor typically retains ownership and control over its brand and associated intellectual property. This provision ensures that Dermani Medspa maintains consistent brand standards and protects its brand reputation across all franchise locations. The franchisee cannot contest the validity of Dermani Medspa's ownership of the Marks during or after the term of the agreement.
