What must a Dermani Medspa Developer do to exercise each development right under the Area Development Agreement?

If you sign an Area Development Agreement, you must open each Franchised Business according to the schedule for developing Franchised Businesses described in Exhibit A to the Area Development Agreement (the "Development Schedule"). The Developer will exercise each development right by executing our then-current form of Franchise Agreement, which may materially differ from the current Franchise Agreement included in this disclosure document, for the establishment and operations of a Franchised Business.

The number of Franchised Businesses to be established under the Development Schedule will be mutually determined by you and us, based on the size of the Development Area, demographics and economic factor in the Development Area, expected demand for dermani MEDSPA®s, your desire and ability to develop and manage the dermani MEDSPA®s, and other factors. We require a minimum commitment of at least 2 Franchised Businesses to enter into an Area Development Agreement. During the term of the Area Development Agreement, you must manage and maintain at least the number of dermani MEDSPA®s which are required to be established according to the terms of the Development Schedule.

What This Means (2025 FDD)

According to the 2025 Dermani Medspa FDD, a Developer who signs an Area Development Agreement must adhere to the Development Schedule outlined in Exhibit A of the Area Development Agreement. To exercise each development right, the Developer must execute the then-current form of the Franchise Agreement for the establishment and operation of a Franchised Business. The FDD notes that this Franchise Agreement may differ materially from the one included in the disclosure document.

The number of Franchised Businesses to be established under the Development Schedule will be determined mutually by the Developer and Dermani Medspa. This determination will be based on factors such as the size of the Development Area, demographics and economic factors in the Development Area, expected demand for dermani MEDSPA®s, and the Developer's desire and ability to develop and manage the dermani MEDSPA®s. Dermani Medspa requires a minimum commitment of at least 2 Franchised Businesses to enter into an Area Development Agreement.

During the term of the Area Development Agreement, the Developer must manage and maintain at least the number of Dermani Medspa locations required to be established according to the terms of the Development Schedule. This ensures that the Developer meets the obligations set forth in the agreement and maintains the required level of business operations.
