Can Dermani Medspa declare any breach to be a default and terminate the agreement before its term expires?

If any of such rights, options, arrangements, or areas are terminated or modified, such action will be without prejudice to our right to terminate this Agreement, and we will have the right to retain all Development Fees paid by you, and/or to terminate any other rights or arrangements under this
Agreement at any time thereafter for the same default or as a result of any additional defaults of the terms of this Agreement.
- 1.1.1. To develop the Franchised Businesses and dermani MEDSPA®s pursuant to the development schedule set forth in Paragraph 3 of Exhibit A attached hereto (the "Development Schedule").
If at any time during the term of this Agreement you fail to satisfy the Development Schedule, then we have the right, but not the obligation, to exercise our termination rights and other rights pursuant to Section 8 below;

What This Means (2025 FDD)
According to the 2025 Dermani Medspa Franchise Disclosure Document, the agreement can be terminated early based on the terms outlined in the agreement.
Dermani Medspa can terminate the Area Development Agreement if the franchisee fails to meet the Development Schedule. If the franchisee fails to develop Franchised Businesses and dermani MEDSPA®s according to the schedule in Exhibit A, Dermani Medspa has the right, but not the obligation, to exercise termination rights as described in Section 8 of the agreement.
Additionally, Dermani Medspa retains the right to terminate the agreement if any rights, options, arrangements, or areas are terminated or modified. This termination would not prejudice Dermani Medspa's right to retain all Development Fees paid by the franchisee. Dermani Medspa can also terminate any other rights or arrangements under the agreement for the same default or any additional defaults of the agreement's terms.
