Who decides the activities carried on by each Dermani Medspa cooperative?

According to Dermani Medspa's 2025 Franchise Disclosure Document, the activities carried on by each cooperative are decided by a majority vote of its members, unless Dermani Medspa specifies otherwise. Any Dermani Medspa centers that Dermani Medspa or its affiliates operate in the region have the same voting rights as those owned by its franchisees. Each Medspa is entitled to cast one vote.

Cooperatives must be organized for the exclusive purpose of administering advertising programs and developing standardized promotional materials for the members' use in local marketing within the Cooperative's area, subject to Dermani Medspa's approval. Without Dermani Medspa's prior written approval, the Cooperative may not use, nor furnish to its members, any advertising or promotional plans or materials. All such plans and materials must be submitted to Dermani Medspa according to a specified procedure.

This means that while franchisees have a say in the cooperative's activities through majority voting, Dermani Medspa retains significant control over the cooperative's operations, particularly concerning advertising and promotional materials.
