What is 'cobranding' as it relates to a Dermani Medspa franchise?

Dermani_Medspa Franchise · 2025 FDD

Answer from 2025 FDD Document

We may, from time to time, incorporate into the System programs, products or services which we either develop or otherwise obtain rights to, which are offered and sold under names, trademarks and/or service marks other than the Marks and which your Franchised Business, along with other dermani MEDSPA® franchised businesses, will be required to offer and sell. This activity, referred to as "cobranding", may involve changes to the Marks and may require you to make modifications to your Premises and the furniture, fixtures, equipment, signs and trade dress of your Franchised Business. If you receive written notice that we are instituting a cobranding program, you agree promptly to implement that program at your Franchised Business at the earliest commercially reasonable time and to execute any and all instruments required to do so. Under no circumstance will any cobranding program increase your Royalty Fees, System Marketing Fee or local marketing expenditure obligations under this Agreement.

What This Means (2025 FDD)

According to the 2025 Dermani Medspa Franchise Disclosure Document, cobranding refers to Dermani Medspa incorporating into its system programs, products, or services that they develop or obtain rights to, which are offered and sold under names, trademarks, or service marks other than the Dermani Medspa marks. This means that Dermani Medspa may partner with other brands or incorporate other branded products or services into its offerings.

For a prospective franchisee, this could mean that they will be required to offer and sell these cobranded products or services at their Dermani Medspa location. The FDD states that this activity may involve changes to the Marks and may require franchisees to make modifications to their premises and the furniture, fixtures, equipment, signs, and trade dress of their franchised business. Franchisees are obligated to implement the cobranding program promptly at their franchised business at the earliest commercially reasonable time and to execute any required instruments upon receiving written notice from Dermani Medspa.

It is important to note that, according to the FDD, no cobranding program will increase a franchisee's Royalty Fees, System Marketing Fee, or local marketing expenditure obligations under the Franchise Agreement. This provides some assurance that the franchisee's financial obligations will not increase as a direct result of implementing a cobranding program. However, franchisees should still carefully consider the potential costs associated with any required modifications to their premises or operations when evaluating a cobranding opportunity.
