Can Dermani Medspa award the same Development Area to multiple area developers?

As described in Item 1, if you sign an Area Development Agreement, you will receive a Development Area in which you must develop multiple Franchised Businesses. The Development Area may be all or part of a Metropolitan Statistical Area (or "MSA") Your rights within the Development Area are non-exclusive, and we may award the same Development Area to multiple area developers, however, we will not sell the right to develop more dermani MEDSPA®s than the total number of available territories available in the Development Area. You will not receive an exclusive territory under your Development Agreement. You may face competition from other franchisees, from outlets that we control, or from other channels of distribution or competitive brands that we control.
Once you have secured an approved site for a given dermani MEDSPA® under a Franchise Agreement to fulfill your development obligations under your Development Agreement, we will grant you a Territory around that dermani MEDSPA® wherein you will have territorial protection as previously discussed in this Item 12.

What This Means (2025 FDD)
According to Dermani Medspa's 2025 Franchise Disclosure Document, if you sign an Area Development Agreement, you will receive a Development Area in which you must develop multiple Franchised Businesses. However, Dermani Medspa's rights within the Development Area are non-exclusive. Dermani Medspa retains the right to award the same Development Area to multiple area developers. However, Dermani Medspa will not sell the right to develop more Dermani Medspa franchises than the total number of available territories in the Development Area.
This means that as an area developer, you may face competition from other area developers within the same Development Area. While Dermani Medspa will not oversell the number of territories, the lack of exclusivity could impact your ability to secure prime locations or achieve projected market share. This is a significant consideration for prospective area developers, as it introduces a competitive dynamic that could affect profitability and growth potential.
Once you have secured an approved site for a Dermani Medspa under a Franchise Agreement to fulfill your development obligations under your Development Agreement, Dermani Medspa will grant you a Territory around that Dermani Medspa where you will have territorial protection. This territorial protection is discussed in Item 12 of the FDD. This implies that while the Development Area itself is non-exclusive, individual franchise locations within that area will have a protected territory once a site is secured and approved.
