What is the Dermani Medspa Area Development Agreement?

We also may offer an area development agreement (the "Area Development Agreement") to qualified entities and persons (a "Developer"). The Area Development Agreement grants the right to establish and operate a specified number of Franchised Businesses that will manage dermani MEDSPA®s in a specified area (the "Development Area") at specific locations to be designated in separate Franchise Agreements. The form of Area Development Agreement that we intend to offer is attached to this disclosure document as Exhibit B.
If you sign an Area Development Agreement, you must open each Franchised Business according to the schedule for developing Franchised Businesses described in Exhibit A to the Area Development Agreement (the "Development Schedule"). The Developer will exercise each development right by executing our then-current form of Franchise Agreement, which may materially differ from the current Franchise Agreement included in this disclosure document, for the establishment and operations of a Franchised Business.
The number of Franchised Businesses to be established under the Development Schedule will be mutually determined by you and us, based on the size of the Development Area, demographics and economic factor in the Development Area, expected demand for dermani MEDSPA®s, your desire and ability to develop and manage the dermani MEDSPA®s, and other factors. We require a minimum commitment of at least 2 Franchised Businesses to enter into an Area Development Agreement. During the term of the Area Development Agreement, you must manage and maintain at least the number of dermani MEDSPA®s which are required to be established according to the terms of the Development Schedule.

What This Means (2025 FDD)
According to the 2025 Dermani Medspa FDD, the Area Development Agreement is an agreement offered to qualified individuals or entities, referred to as "Developers," granting them the right to establish and operate a specified number of Dermani Medspa Franchised Businesses within a defined geographic area, known as the "Development Area." These businesses will manage Dermani Medspas at specific locations, which will be detailed in separate Franchise Agreements. The specific form of the Area Development Agreement is included as Exhibit B to the disclosure document.
Under the Area Development Agreement, the Developer is obligated to open each Franchised Business according to a predetermined schedule for development, outlined in Exhibit A of the Area Development Agreement, referred to as the "Development Schedule." To exercise each development right, the Developer must execute the then-current form of the Franchise Agreement, which Dermani Medspa notes may differ materially from the current Franchise Agreement included in the disclosure document.
The number of Franchised Businesses to be established under the Development Schedule will be determined mutually between Dermani Medspa and the Developer. This determination will be based on factors such as the size of the Development Area, demographics and economic factors within the Development Area, expected demand for Dermani Medspas, and the Developer's desire and ability to develop and manage the Dermani Medspas. Dermani Medspa requires a minimum commitment of at least two Franchised Businesses to enter into an Area Development Agreement. Throughout the term of the Area Development Agreement, the Developer must manage and maintain at least the number of Dermani Medspas required by the Development Schedule.
