What actions may Dermani Medspa take if a franchisee fails to comply with System Standards?

8.7.1. You acknowledge and agree that operating and maintaining the Franchised Business according to System Standards is essential to preserve the goodwill of the Marks and all
Franchised Businesses and Medspas. Therefore, you agree at all times to operate and maintain the Franchised Business according to all of our System Standards. Although we retain the right to establish and periodically modify System Standards, you retain the right to and responsibility for the day-to-day management and operation of the Franchised Business and implementing and maintaining System Standards at the Franchised Business. If you fail to implement, maintain, and/or comply with System Standards, we may terminate your right to operate the Franchised Business, and/or take other actions to enforce the System Standards.

As examples, and without limitation, recommended and mandatory System Standards may regulate any one or more of the following, in addition to the items described in Sections 8.1 through 8.6 above:

What This Means (2025 FDD)
According to the 2025 Dermani Medspa FDD, franchisees must operate and maintain their franchised business according to Dermani Medspa's System Standards. These standards are considered essential for preserving the goodwill associated with the Dermani Medspa brand and all franchised locations. While Dermani Medspa retains the right to modify these System Standards periodically, franchisees are responsible for the day-to-day management and implementation of these standards within their business.
If a franchisee fails to adhere to or implement the System Standards, Dermani Medspa has the right to terminate the franchise agreement, effectively ending the franchisee's right to operate the Dermani Medspa business. In addition to termination, Dermani Medspa may also take other actions to enforce compliance with the System Standards.
System Standards may regulate various aspects of the business, including management and administrative services, staffing, sales and marketing programs, use of trademarks, hours of operation, market research participation, payment systems, insurance programs, and bookkeeping practices. Franchisees must implement any changes to System Standards within the timeframe requested by Dermani Medspa, which may involve investments in refurbishing, remodeling, new equipment, or modified operations.
