What actions are Dermani Medspa franchisees prohibited from taking with the Dermani Medspa Manuals and related materials?

You must always treat in a confidential manner the Manuals, any other manuals we create (or that we approve) for use with the Franchised Business and the dermani MEDSPA®, and the information contained in the Manuals. You may not copy, duplicate, record, or otherwise reproduce the Manuals and the related materials, or any portion of the Manuals (except for the parts of the Manuals that are meant for you to copy, which we will clearly mark as such), nor may you otherwise let any unauthorized person have access to these materials. The Manuals will always be our sole property. You must always keep the Manuals in a secure place at the dermani MEDSPA®'s premises.
We may periodically revise the contents of the Manuals, and you must make corresponding revisions to your copy of the Manuals and comply with each new or changed standard immediately upon receipt of the revision. If there is ever a dispute as to the contents of the Manuals, our master copy of the Manuals (maintained at our home office) will be controlling.

What This Means (2025 FDD)
According to the 2025 Dermani Medspa Franchise Disclosure Document, franchisees are restricted in how they handle the Dermani Medspa Manuals and related confidential information. Franchisees must treat the manuals and the information within them as confidential. This means franchisees cannot communicate, disclose, or use any confidential information for any person's benefit outside of operating the franchised business.
Specifically, franchisees are prohibited from copying, duplicating, recording, or reproducing the manuals or related materials, except for sections explicitly marked for copying. They also cannot allow unauthorized individuals to access these materials. The manuals remain the sole property of Dermani Medspa, and franchisees must store them securely at the Dermani Medspa premises.
Dermani Medspa retains the right to revise the manuals periodically, and franchisees must update their copies accordingly and comply with the new standards immediately. In case of any discrepancies, Dermani Medspa's master copy of the manuals will be the controlling document. Franchisees may only share confidential information with employees who require access to it for business operations. Dermani Medspa may also require franchisees, their Operating Principal, and employees to sign non-disclosure and non-competition covenants to further protect confidential information.
