What This Means (2025 FDD)

According to the 2025 Delta Hotels By Marriott FDD, a franchisee will receive either a Traditional Hotel Operations Consulting Agreement or a Limited Above Property Rooms Control Consulting Agreement. The franchisee should electronically sign the relevant APRC consulting agreement at their earliest convenience. By signing, the franchisee acknowledges enrollment in the selected APRC services, agrees to the terms (including autorenewal), and accepts the payment terms.

The FDD emphasizes that the contents of the APRC consulting agreement are confidential and proprietary to Marriott International, Inc., and cannot be reproduced, disclosed, distributed, or used without express permission. This highlights the importance of maintaining the confidentiality of the document and adhering to Marriott's proprietary rights.

The APRC agreement includes schedules detailing operational actions (Schedule A) and cost matrices (Schedule B). For hotels that did not participate in the services during the previous calendar year, Schedule C outlines a one-time set-up fee covering an audit report, a meeting to review findings, and execution of agreed-upon changes to hotel systems. New-build hotels that signed a letter prior to opening are exempt from this fee, which is due 60 days after the commencement date.

Delta Hotels By Marriott also advises that the sales and marketing, along with the financial and operational success of the hotel, largely depends on the franchisee's ability to operate the hotel as an independent business. Marriott is not assuming overall responsibility for the success or failure of the hotel by providing these services, and is not providing any guarantee as to the potential sales volume, revenue, profit, or success of the hotel as a result of Marriott's performance of the services or franchisee's participation in the programs.
