What This Means (2025 FDD)
According to Del Taco's 2025 Franchise Disclosure Document, Del Taco retains ownership of the manuals and other confidential materials. Specifically, the manuals at all times remain the sole property of Del Taco. Franchisees are required to keep the manuals in a secure place on the Restaurant premises and ensure they are current and up to date. In case of any dispute regarding the contents of the manuals, the master copy maintained by Del Taco at its home office will be controlling. Del Taco may revise the manuals from time to time, and franchisees must update their copies accordingly and comply with the new standards immediately upon receipt of such revisions.
Furthermore, any ideas, concepts, methods, techniques, and products conceived or developed by the franchisee or its affiliates relating to the operation of the Del Taco restaurant become the sole property of Del Taco. This includes any patents, trademarks, copyrights, trade secrets, and other proprietary rights, without any restrictions on use or compensation due to the franchisee. The franchisee agrees to assist Del Taco in obtaining any patents, trademarks, or copyrights as needed.
This arrangement is typical in franchising, as it allows Del Taco to maintain uniformity and protect its brand standards across all franchise locations. It also ensures that any improvements or innovations developed at one location can be shared and implemented throughout the entire Del Taco system. For a prospective franchisee, this means they must adhere strictly to the guidelines and procedures outlined in the manuals and understand that any intellectual property developed during the franchise term belongs to Del Taco.
