What This Means (2025 FDD)
According to Del Taco's 2025 Franchise Disclosure Document, Jack in the Box Inc. (JIB), a Delaware corporation, acquired Del Taco Holdings, Inc. on March 8, 2022, as part of a Merger Transaction dated December 5, 2021. Following the acquisition, Del Taco Holdings became a wholly-owned subsidiary of JIB. Both Del Taco Holdings and JIB share the same principal business address.
This acquisition means that Jack in the Box Inc. has significant control over Del Taco's operations and strategic decisions. As a prospective franchisee, it's important to understand the implications of this ownership structure. For instance, Jack in the Box's strategic decisions could influence Del Taco's brand direction, menu offerings, and overall business model.
Furthermore, the FDD mentions that in May 2025, JIB announced it was exploring strategic options regarding the Del Taco brand, including potential divestiture. This indicates a degree of uncertainty about the future ownership and direction of Del Taco. Potential franchisees should consider this when evaluating the long-term stability and growth prospects of a Del Taco franchise. It would be prudent to inquire with Del Taco about the potential divestiture and its possible impact on franchisees.
