- The System and Studios are identified by means of certain trade names, service marks, trademarks, logos, emblems, and indicia of origin, including, but not limited, to the mark "Degree Wellness", and such other trade names, service marks, and trademarks as are now designated and may hereafter be designated by Franchisor in writing for use in connection with the System (the "Marks"). The parties agree and acknowledge that Franchisor has established substantial goodwill and business value in its Marks, expertise, and System.

What This Means (2025 FDD)
According to the 2025 Degree Wellness Franchise Disclosure Document, a developer is granted the right to develop a certain number of Degree Wellness studios within a defined Site Selection Area. The Site Selection Area is defined by geographic boundaries and will consist of an area or areas described in the Development Agreement or an attached map.
The Degree Wellness FDD states that the developer must strictly adhere to the terms of the Development Agreement, with each studio within the Site Selection Area being opened and operated utilizing the Degree Wellness marks and system. The developer applies for the right to open and operate a certain number of studios within the Site Selection Area, and Degree Wellness approves such application in reliance on the developer's representations.
Furthermore, the Degree Wellness franchise agreement specifies that the premises for a Degree Wellness studio must be located within the Site Selection Area identified in Exhibit 1 of the franchise agreement. However, the FDD also notes that the Site Selection Area is non-exclusive, meaning the franchisee does not have territorial rights to it. The franchisee is expected to use their best efforts to seek and select a proposed site for the premises.
