What This Means (2025 FDD)
According to Degree Wellness's 2025 Franchise Disclosure Document, to renew a franchise agreement, each shareholder, member, or partner (referred to as 'Owners') of the Degree Wellness franchisee must execute a general release. This release is in favor of Degree Wellness, its affiliates, and their respective owners, officers, directors, employees, and agents. The release covers any and all claims that the franchisee and its Owners may have against Degree Wellness and the associated parties.
This requirement is outlined in Section 2.4(c) of the Franchise Agreement, which stipulates that executing this general release is a condition for renewing the agreement. The purpose of this release is to ensure that Degree Wellness is protected from potential liabilities or claims that may arise from the franchisee's operations or any other related matters. By signing the release, the Owners waive their rights to pursue legal action against Degree Wellness and its affiliates.
In addition to the general release, the franchisee and its Principal Owners must also execute the form of Franchise Agreement and any ancillary agreements that Degree Wellness is then customarily using in the grant or renewal of franchises. The terms of the Franchise Agreement that you must execute upon renewal, and any other agreements Degree Wellness may require, may differ materially from those contained in this Agreement, including the possibility of increased Continuing Franchise Fees and Fund contributions. The franchisee must also pay a renewal fee of $10,000 concurrently with signing the renewal Franchise Agreement.
This requirement is a fairly standard practice in franchising, where franchisors seek to protect themselves from potential legal issues as part of the renewal process. Prospective Degree Wellness franchisees should carefully review the terms of the general release and understand the implications before signing, as it could impact their ability to make future claims against the franchisor.
