Does Degree Wellness have plans to operate a business under a different trademark that is similar to Degree Wellness franchises?

According to Degree Wellness's 2025 Franchise Disclosure Document, Degree Wellness currently does not operate, franchise, or have plans to operate or franchise a business under a different trademark or service mark that is similar or dissimilar to the products and services offered by Degree Wellness franchises. However, Degree Wellness International, LLC, an affiliate, plans to offer and sell Degree Wellness Studio internationally using the Degree Wellness Marks. Degree Wellness International, LLC, will not use a different trademark or service mark to offer or sell Studio franchises and will not offer or sell Studios in a franchisee's Protected Territory.

Degree Wellness and its affiliates retain the right to engage in activities not expressly prohibited by the Franchise Agreement. This includes the right to operate or grant franchises for Degree Wellness Studios outside a franchisee's Protected Territory. They can also operate other healthcare-related companies or franchises, offering similar or dissimilar products and services under different trademarks, without compensating the franchisee. These activities can occur both inside and outside the franchisee's Protected Territory.

Degree Wellness also reserves the right to sell or distribute products bearing their proprietary marks through various channels, including the internet, both within and outside a franchisee's Protected Territory. They can also license others to do the same. Additionally, Degree Wellness can own, acquire, establish, and operate businesses different from Degree Wellness franchises but still operated under the Degree Wellness Marks, within or outside the Protected Territory, and use various distribution channels for these businesses. Degree Wellness also retains the right to be acquired by a business providing similar products and services, even if that business operates competitive businesses in a franchisee's Protected Territory.

Degree Wellness and its affiliates reserve the right to use other distribution channels, like the internet, catalog sales, and telemarketing, to make sales under trademarks and service marks other than the Degree Wellness Marks. This means that while Degree Wellness does not plan to operate similar businesses under different trademarks, they retain broad rights to operate other businesses, sell products through various channels, and even be acquired by competitors, all of which could potentially impact a franchisee's business.
