Degree_Wellness Franchise · 2025 FDD

Answer from 2025 FDD Document

Your right to use the Marks is derived solely from your Franchise Agreement, and is limited to your conduct of business in compliance with the Franchise Agreement and all applicable specifications, standards, and operating procedures we prescribe during the term of your franchise, including, without limitation, timely payment of the Initial Franchise Fee, Continuing Franchise Fees, Fund contributions, and all other sums due to us. Any unauthorized use of the Marks by you will constitute an infringement of our rights in and to the Marks. Your use of the Marks and any goodwill established by them will be for our exclusive benefit, and your Franchise Agreement does not confer any goodwill or other interests in the Marks upon you. All provisions of your Franchise Agreement applicable to the Marks will apply to any additional proprietary trade and service marks and commercial symbols authorized for use by, and licensed to you under, your Franchise Agreement. You may not at any time during or after the term of your franchise contest, or assist any other person in contesting, the validity or ownership of any of the Marks.

What This Means (2025 FDD)

According to Degree Wellness's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from contesting the validity or ownership of the brand's trademarks, either during or after the term of their franchise agreement. The franchise agreement specifies that the franchisee's right to use Degree Wellness's marks is solely derived from, and contingent upon, compliance with the franchise agreement's terms, including the timely payment of all required fees. Any unauthorized use of the marks constitutes an infringement of Degree Wellness's rights. Furthermore, all goodwill associated with the marks belongs exclusively to Degree Wellness, and the franchise agreement does not grant the franchisee any ownership or interest in the marks.

This restriction is a standard practice in franchising, as it protects the franchisor's brand identity and intellectual property. Degree Wellness maintains control over its trademarks to ensure consistent brand representation across all franchise locations. This control extends to requiring franchisees to use the marks as the sole identification of their franchise and to identify themselves as independent owners in a prescribed manner. Franchisees cannot use the marks in any modified form or in connection with unauthorized services or ventures.

Degree Wellness also requires franchisees to notify them immediately of any potential trademark infringements or claims. The franchisor retains the sole discretion to take action regarding any infringement, challenge, or claim related to the marks, including legal proceedings. Franchisees are obligated to assist Degree Wellness in protecting its interests in the marks by signing documents and providing necessary assistance. This comprehensive control over the trademarks ensures brand consistency and protects the franchisor's intellectual property rights.

In the event that Degree Wellness decides to modify or discontinue the use of any mark, franchisees must comply with these changes at their own expense and will not be reimbursed for any resulting loss of revenue. While this places the financial burden of adapting to brand changes on the franchisee, it is a necessary measure to maintain the integrity and relevance of the Degree Wellness brand. This clause highlights the importance of ongoing communication and collaboration between the franchisor and franchisee to navigate any brand-related changes effectively.
