Agreement is being presented to you because of the desire you have expressed to obtain the right to develop, own, and be franchised to operate a Degree Wellness Studio (we refer to your Degree Wellness franchise hereinafter as the "Franchise" or the "Franchised Business").

What This Means (2025 FDD)
According to Degree Wellness's 2025 Franchise Disclosure Document, the 'Franchise' refers to the right granted to an individual or entity to develop, own, and operate a Degree Wellness Studio. This right is granted to those who meet Degree Wellness's qualifications and express a desire to obtain it. The Degree Wellness Studio operates in accordance with the System, which includes procedures, specifications, and techniques designated for operating a wellness business specializing in innovative self-care solutions. These solutions leverage heat, cold, light, and advanced nutrients to enhance physical and mental health, along with related services and products. The system is identified by trademarks and service marks such as "Degree Wellness".
The franchise agreement grants the franchisee the right to operate a Degree Wellness Studio offering all products, services, and proprietary programs in accordance with the System. The franchisee must operate the franchise at a mutually agreeable site and use the System and Marks in its operation. The initial term of the franchise is 10 years, beginning on the agreement date, with the expiration date listed on Exhibit 1 of the agreement. Termination or expiration of the agreement results in the termination or expiration of the franchise and all associated rights, including the use of the Marks and Confidential Information.
Degree Wellness may also offer franchises to persons or legal entities that meet their qualifications but are not licensed to practice or provide health-related care, referred to as "Studio Management Businesses." This is applicable in states where non-licensed persons are not permitted to own health care practices. In states that do permit non-licensed persons to own and operate health care businesses, a Studio Management Business Franchise is not necessary but may be offered under certain circumstances. Franchisees are obligated to operate the Franchise, fulfill the obligations of the agreement, and continuously exert their best efforts to promote and enhance the business of the Franchise for the entire Initial Term, and any subsequent renewal or extension of the Term of this Agreement.
