How will Degree Wellness disclose the Confidential Information to franchisees?

According to Degree Wellness's 2025 Franchise Disclosure Document, the Confidential Information, which includes methods, techniques, procedures, information, systems, and knowledge related to the operation of Degree Wellness franchises, will be disclosed to franchisees through three primary channels. These channels are the initial training program, the Operations Manual, and ongoing guidance provided during the franchise term. The initial training program, as described in Item 11, will serve as an introduction to the core concepts and practices. The Operations Manual, which is lent to the franchisee, will provide detailed instructions and protocols. Furthermore, Degree Wellness will offer continuous support and guidance throughout the franchise agreement.

Degree Wellness emphasizes that franchisees only acquire the right to use the Confidential Information during the franchise term and do not gain any other interest in it. This means that franchisees are permitted to utilize the information solely for the development and operation of their Degree Wellness franchise.

The FDD also outlines restrictions on how franchisees can use and protect this information. Franchisees must not use the Confidential Information in any other business or capacity, and they must maintain its confidentiality both during and after the franchise term. Unauthorized copying or disclosure to third parties is strictly prohibited. Franchisees are also required to implement reasonable procedures, including nondisclosure agreements with employees, to prevent unauthorized use or disclosure of the Confidential Information.
