Answer from 2025 FDD Document

Your right to use the Marks is derived solely from your Franchise Agreement, and is limited to your conduct of business in compliance with the Franchise Agreement and all applicable specifications, standards, and operating procedures we prescribe during the term of your franchise, including, without limitation, timely payment of the Initial Franchise Fee, Continuing Franchise Fees, Fund contributions, and all other sums due to us. Any unauthorized use of the Marks by you will constitute an infringement of our rights in and to the Marks. Your use of the Marks and any goodwill established by them will be for our exclusive benefit, and your Franchise Agreement does not confer any goodwill or other interests in the Marks upon you. All provisions of your Franchise Agreement applicable to the Marks will apply to any additional proprietary trade and service marks and commercial symbols authorized for use by, and licensed to you under, your Franchise Agreement. You may not at any time during or after the term of your franchise contest, or assist any other person in contesting, the validity or ownership of any of the Marks.

What This Means (2025 FDD)

According to Degree Wellness's 2025 Franchise Disclosure Document, the goodwill established by a franchisee's use of the brand's trademarks exclusively benefits the franchisor. The franchise agreement does not grant the franchisee any ownership or interest in that goodwill. This means that while a Degree Wellness franchisee invests time and resources in building brand recognition and a positive reputation within their local market, the resulting value accrues solely to the benefit of Degree Wellness itself.

This arrangement is typical in franchising, where the franchisor owns the brand and licenses its use to franchisees. The franchisee's right to use the Degree Wellness marks is derived solely from the franchise agreement and is contingent upon compliance with the agreement's terms, including timely payment of fees and adherence to operating standards. Any unauthorized use of the marks by the franchisee constitutes an infringement of Degree Wellness's rights.

This has significant implications for a prospective Degree Wellness franchisee. While they can benefit from the established brand recognition and marketing efforts of the franchisor, they do not build equity in the brand itself. If the franchise agreement is terminated or not renewed, the franchisee loses the right to use the Degree Wellness marks and cannot capitalize on any goodwill they helped create during the term of the franchise. This underscores the importance of understanding the terms of the franchise agreement and the long-term implications of investing in a Degree Wellness franchise.
