WHEREAS, Franchisor has developed and requires all of its franchisees to use a proprietary, cloud-based technology system, called Back Office Support System ("B.O.S.S."). B.O.S.S. currently consists of customer relationship management tools, marketing tools, communication tools, sales and royalty reports, project management tools, and accounting tools.
WHEREAS, the parties desire to define the terms and conditions on which the Franchisor will license Franchisee to use and access B.O.S.S. and to provide for the training, maintenance and support of B.O.S.S. by Franchisor.
NOW, THEREFORE, for good and valuable consideration, receipt and sufficiency of which is hereby acknowledged by each of the undersigned, the parties agree as follows:

What This Means (2025 FDD)
According to Decorating Den Interiors' 2025 Franchise Disclosure Document, B.O.S.S. stands for Back Office Support System. It is Decorating Den Interiors' proprietary, cloud-based technology system. Franchisees are required to subscribe to and regularly use B.O.S.S., or any other technology system that Decorating Den Interiors may require, throughout the duration of their Franchise Agreement.
B.O.S.S. includes customer relationship management tools, marketing tools, communication tools, sales and royalty reports, project management tools, and accounting tools. Franchisees must also maintain computer hardware and software that meets the minimum specifications outlined in the Policy and Procedure Manual to effectively use B.O.S.S. and have access to the Internet via an ISP. Franchisees are responsible for all costs and fees associated with these technology requirements.
B.O.S.S. serves as the primary communication method within the Decorating Den Interiors system. It is a private communication channel accessible only to Decorating Den Interiors staff, Field Mentors, Preferred Suppliers, and Franchisees. While B.O.S.S. transmits information over the internet, it is an extranet that requires a password to access data on Decorating Den Interiors' servers.
The FDD also mentions that Decorating Den Interiors may modify the Policy and Procedure Manual at any time, including modifications to B.O.S.S. These changes will be effective five business days after notification is deposited with the United States Postal Service, the next business day after verified receipt of electronic mail notification, or the next business day after notification is posted on B.O.S.S.
