IHG DIRECT PARTICIPATION AGREEMENT
This Participation Agreement ("Participation Agreement") is made between Six Continents Hotels, Inc., a Delaware corporation ("IHG") and you (the "Participating Property").
WHEREAS, IHG has negotiated contracts with certain suppliers of goods and services through relationship with group purchasing organizations and numerous other suppliers and distributors of goods and services ("Supplier or Suppliers").
WHEREAS, IHG and Suppliers have agreed in certain instances that IHG may provide these goods and services to Participating Properties and the vehicle for doing so shall be entering into this Participation Agreement between IHG and the Participating Property.
NOW, THEREFORE, in consideration of the recitals above and the mutual covenants and obligations in this Participation Agreement, IHG and the Participating Property acknowledge and agree as follows:

What This Means (2025 FDD)
According to Crowne Plaza's 2025 Franchise Disclosure Document, the IHG Direct Participation Agreement is made between Six Continents Hotels, Inc. (IHG) and the Participating Property, which would be the Crowne Plaza franchisee. This agreement allows IHG to provide goods and services to Participating Properties by entering into a Participation Agreement with them. IHG negotiates contracts with suppliers of goods and services, and this agreement serves as the vehicle for providing these to the franchisees.
The agreement states that IHG and the suppliers have agreed that IHG may provide these goods and services to Participating Properties. By signing the Participation Agreement, the parties agree to the terms and conditions outlined within it. The agreement also states that it does not modify or amend any other agreements between IHG and the Participating Property, including any licensing agreement.
In addition, the Participation Agreement includes stipulations regarding a Secure Payment Solution Agreement between IHG and FreedomPay. Under this agreement, the Crowne Plaza hotel may receive the benefit of secure payment solution services, and the hotel will pay IHG a fee of $0.06 per transaction and a support fee of $140 per month. The hotel acknowledges that FreedomPay is the service provider, but IHG will process onboarding, administer payments, and facilitate support.
