- Termination by IHG. IHG may immediately terminate this Participation Agreement at any time and for any reason, including the following:
- a. Participating Property is in default of any provision of an IHG License Agreement;
- b. There is any "Transfer" (as defined in the IHG License Agreement) by the Participating Property of the ownership of the Participating Property or change in ownership of the Participating Property that occurs without the prior written consent of IHG or is unauthorized under the IHG License Agreement;
- c. Participating Property sells that Participating Property to a third party;
- d. Participating Property fails to comply with and/or breaches the confidentiality obligations set forth in Section 6 below; or
- e. Participating Property fails to make payments as required by the terms of this Participating Agreement or any agreement with a Supplier.

What This Means (2025 FDD)
According to the 2025 FDD, IHG (InterContinental Hotels Group) has the right to immediately terminate the Crowne Plaza Participation Agreement under specific circumstances. These include if the Participating Property defaults on any provision of an IHG License Agreement, or if there is an unauthorized transfer of ownership of the Participating Property without IHG's prior written consent, as defined in the IHG License Agreement. IHG can also immediately terminate the agreement if the Participating Property sells the property to a third party.
Additionally, IHG can terminate the Participation Agreement immediately if the Participating Property fails to comply with or breaches the confidentiality obligations outlined in Section 6 of the agreement. Another cause for immediate termination is if the Participating Property fails to make payments as required by the terms of the Participation Agreement or any agreement with a Supplier.
Furthermore, if the Hotel breaches the Hotel Agreement and fails to resolve the breach within ten days after receiving a notice of default from IHG or an IHG Affiliate, IHG can terminate the Participation Agreement immediately with written notice. IHG may also terminate the agreement immediately upon written notice to the Hotel in the event of a Hotel Bankruptcy. These termination rights are in addition to any other legal, equitable, or contractual rights IHG may have, including the ability to limit or suspend the Hotel's access to the Next-Gen Payments Solution.
