What This Means (2025 FDD)

According to the 2025 Crowne Plaza FDD, the Hotel Data provided by or on behalf of the hotel to FreedomPay remains the property of the Hotel. However, this ownership is subject to the rights granted to IHG (InterContinental Hotels Group) in the IHG-FreedomPay SPS Agreement. This means that while the Crowne Plaza franchisee owns the data, IHG retains certain rights to it as defined in their agreement with FreedomPay.

FreedomPay acknowledges that all data provided by the hotel remains the property of the hotel, as between FreedomPay and the hotel. This establishes a clear understanding between FreedomPay and the Crowne Plaza franchisee regarding data ownership. However, IHG's rights, as outlined in their separate agreement with FreedomPay, could potentially impact how the hotel can utilize its own data.

This arrangement highlights the importance of understanding the full scope of agreements between all parties involved. As a prospective franchisee, it would be prudent to review the IHG-FreedomPay SPS Agreement to fully understand the extent of IHG's rights to the Hotel Data and how those rights might affect the franchisee's operations and data usage.
