FORMANCE, OR ANY WARRANTY AGAINST INTERFERENCE OR INFRINGEMENT, OR ANY WARRANTY WITH RESPECT TO PATENT RIGHTS, IF ANY, PERTAINING TO THE EQUIPMENT. COMPANY WILL NOT BE RESPONSIBLE FOR ANY LOSS OF PROFITS, ANY DIRECT, INCIDENTAL OR CONSEQUENTIAL LOSSES, OR DAMAGES OF ANY NATURE WHATSOEVER, RESULTING FROM THE DELIVERY, INSTALLATION, MAINTENANCE, OPERATIONS, SERVICE OR USE OF ANY EQUIPMENT OR OTHERWISE. TO THE EXTENT THAT WARRANTIES EXIST FROM THE MANUFACTURERS OF THE EQUIPMENT AND TO THE EXTENT ALLOWED BY CONTRACT AND LAW, COMPANY WILL MAKE AVAILABLE TO EQUIPMENT LESSEE ANY APPLICABLE MANUFACTURER'S WARRANTY.

- TAXES. Company will process payment of all assessments, license fees, taxes (including sales, use, excise, personal property, ad valorem, stamp, documentary and other taxes) and all other governmental charges, fees, fines or penalties whatsoever, imposed on Company as required by law, on or relating to the Equipment or the use, registration, rental, shipment, transportation, delivery, or operation thereof, and on or relating to this Agreement.

What This Means (2025 FDD)
According to the 2025 Crowne Plaza FDD, the franchisee, referred to as the PSH Owner (Participating System Hotel Owner), is responsible for keeping the equipment in good condition and working order at their own expense. This includes covering all costs associated with daily maintenance and operation of the equipment, as well as any costs related to ownership or possession of the equipment as required by law during the lease term. This obligation applies to equipment leased from the company.
However, Crowne Plaza provides some relief regarding defective workmanship. If the company or its agents provide service and the workmanship is defective, the franchisee's sole recourse is that Crowne Plaza will correct the defective workmanship at no additional charge. To qualify for this, the franchisee must promptly notify Crowne Plaza of the defective workmanship.
Crowne Plaza disclaims any warranties on the equipment, as they are not the manufacturer. However, to the extent that the equipment manufacturers offer warranties, Crowne Plaza will make these available to the franchisee, if allowed by contract and law. The franchisee should be aware that Crowne Plaza will not be responsible for any loss of profits or any direct, incidental, or consequential losses or damages resulting from the delivery, installation, maintenance, operations, service, or use of any equipment.
