Answer from 2025 FDD Document

This License may be executed in any number of counterparts, each of which will be deemed an original and all of which constitute one and the same instrument. IHG and Licensee hereby acknowledge and agree that electronic signatures, facsimile signatures or signatures transmitted by electronic mail in "pdf" format shall be legal and binding and shall have the same full force and effect as delivery of an original signed counterpart.

What This Means (2025 FDD)

According to the 2025 Crowne Plaza Franchise Disclosure Document, IHG acknowledges electronic signatures, facsimile signatures, and signatures transmitted via email in PDF format as legally binding. Specifically, the License agreement may be executed in counterparts, where each counterpart is considered an original, and all counterparts together form one instrument. IHG and the Licensee both agree that these alternative signature methods hold the same legal weight as a traditionally signed original document.

This provision simplifies the execution process of the Crowne Plaza License Agreement, allowing for quicker and more efficient agreement finalization. Franchisees are not required to be in the same physical location to sign the agreement, reducing logistical hurdles and potentially speeding up the launch of their franchise.

However, it's important for prospective Crowne Plaza franchisees to understand the implications of using these signature methods. While IHG accepts these signatures as legally binding, franchisees should ensure they are comfortable with the security and authenticity of the electronic or facsimile transmission methods they use. It would be prudent to consult with a legal professional to fully understand the enforceability of agreements signed in this manner within their specific jurisdiction.
