What This Means (2025 FDD)
According to the 2025 Crowne Plaza FDD, hotels operating under a Participation Agreement are restricted in how they can use the provided goods and services. Specifically, the agreement states that hotels may only use the goods and services for their own business operations.
This means a Crowne Plaza hotel cannot license, sell, resell, rent, lease, transfer, distribute, or otherwise commercially exploit or make the goods and services available to any third party. This restriction applies to any purpose or manner not explicitly authorized by IHG (InterContinental Hotels Group) or FreedomPay, which provides the payment gateway services.
Furthermore, the agreement prohibits the hotel from disassembling, decompiling, or reverse engineering any FreedomPay technology, and they cannot allow any third party to do so. The hotel is also obligated to use commercially reasonable efforts to prevent unauthorized access to or use of the goods or services. If any unauthorized access or use is detected, the hotel must immediately notify FreedomPay. IHG and FreedomPay are permitted to monitor the hotel's use of the goods and services to ensure compliance with the Participation Agreement and to assess the quality of the services.
