- A. Crown Gold Franchising and its affiliate WAM Gold LLC have created and own a system (the "System") for developing and operating a one stop shop where customers can sell their gold, silver, diamonds or coins at a reasonable price under the trade name "Crown Gold Exchange".
- B. The System includes (1) methods, procedures, and standards for developing and operating a Crown Gold Exchange business, (2) plans, specifications, equipment, signage and trade dress for Crown Gold Exchange businesses, (3) particular products and services, (4) the Marks, (5) training programs, (6) business knowledge, (7) marketing plans and concepts, and (8) other mandatory or optional elements as determined by Crown Gold Franchising from time to time.
- (b) Pricing. Upon request, Crown Gold Franchising will provide recommended prices for products and services offered by franchisees of the System.
- (c) Procedures. Crown Gold Franchising will provide Franchisee with Crown Gold Franchising's recommended administrative, bookkeeping, accounting, and inventory control procedures. Crown Gold Franchising may make any such procedures part of required (and not merely recommended) System Standards.
- (b) Pre-Opening Plans, Specifications, and Vendors. Within a reasonable period of time after the Effective Date, Crown Gold Franchising shall provide Franchisee with (i) Crown Gold Franchising's sample set of standard building plans and specifications and/or standard recommended floor plans; (ii) the applicable System Standards, (iii) other specifications as Crown Gold Franchising deems appropriate (which may include specifications regarding inventory, supplies, materials, and other matters), and (iv) Crown Gold Franchising's lists of Approved Vendors and/or Required Vendors.
- (e) On-Site Opening Assistance. Crown Gold Franchising shall have a representative support Franchisee's business opening with at least 3-5 days of onsite opening training and assistance.
- "System Standards" means, as of any given time, the then-current mandatory procedures, requirements, and/or standards of the System as determined by Crown Gold Franchising, which may include without limitation, any procedures, requirements and/or standards for appearance, business metrics, cleanliness, customer service, design (such as construction, decoration, layout, furniture, fixtures and signs), equipment, inventory, marketing and public relations, operating days, operating hours, presentation of Marks, product and service offerings, quality of products and services (including any guaranty and warranty programs), reporting, safety, technology (such as computers, computer peripheral equipment, smartphones, point-of-sale systems, back-office systems, information management systems, security systems, video monitors, other software, backup and archiving systems, communications systems (including email, audio, and video systems), payment acceptance systems, and internet access, as well as upgrades, supplements, and modifications thereto), uniforms, and vehicles.
- 7.1 Compliance with Manual and System Standards. Franchisee shall at all times and at its own expense comply with all System Standards and all mandatory specifications, standards, and operating procedures prescribed in the Manual or otherwise in writing by Crown Gold Franchising.
- 7.12 Maintenance and Repair. Franchisee shall at all times keep the Business in a neat and clean condition, perform all appropriate maintenance, and keep all physical property in good repair.
- 7.9 Evaluation and Compliance Programs. Franchisee shall participate at its own expense in programs required from time to time by Crown Gold Franchising for obtaining customer evaluations, reviewing Franchisee's compliance with the System, and/or managing customer complaints, which may include (but are not limited to) a customer feedback system, customer survey programs, and mystery shopping.
- 7.10 Payment Systems. Franchisee shall accept payment from customers in any form or manner designated by Crown Gold Franchising (which may include, for example, cash, specific credit and/or debit cards, gift cards, electronic fund transfer systems, and mobile payment systems). Franchisee shall purchase or lease all equipment and enter into all business relationships necessary to accept payments as required by Crown Gold Franchising. Franchisee must at all times comply with payment card industry data security standards (PCI-DSS).
- 7.11 Gift Cards, Loyalty Programs, and Incentive Programs.** At its own expense, Franchisee shall sell or otherwise issue gift cards, certificates, or other pre-paid systems, and participate in any customer loyalty programs, membership/subscription programs, or customer incentive programs, designated by Crown Gold Franchising, in the manner specified by Crown Gold Franchising in the Manual or otherwise in writing.

Franchisees are required to meet or exceed minimum score requirements set by Crown Gold Exchange for these programs and on internet review sites. Furthermore, franchisees must accept payments in designated forms, comply with payment card industry data security standards (PCI-DSS), and participate in any gift card, loyalty, or incentive programs specified by Crown Gold Exchange.
Crown Gold Exchange retains significant control over various aspects of the franchise operation, including the ability to set System Standards, require remodels, and manage the brand and website. Franchisees must adhere to these standards and requirements, ensuring consistency across all Crown Gold Exchange locations. This level of control helps maintain brand uniformity and quality but also limits the franchisee's autonomy in making independent business decisions. Prospective franchisees should carefully review the Franchise Agreement and Brand Standards Manual to fully understand these obligations and restrictions.
